In what situations?

In the field of the M&A (Mergers & Acquisitions) department, we provide comprehensive advice to both the investor and the seller.

 

Our support areas:

  • we prepare and negotiate Term Sheet (TS), Memorandum of Understanding (MOU), Letter of Intent (LOI), Non-Disclosure Agreement (NDA);
  • we carry out legal, tax and accounting due diligence (DD);
  • we prepare a risk map (Red Flag Report) and present our recommendations to the Client;
  • we advise on the preparation of the legal and tax structure for M&A transactions, including e.g. in the form of SPV;
  • we prepare executive documents for share-deals or asset-deals;
  • we advise on transactions related to organized part of enterprises;
  • we prepare documents regarding ownership changes: shareholders agreement; share purchase agreement, management agreements, non-compete agreement, etc.;
  • we prepare and execute transformation, merger, division or spin-off plans in accordance with the Commercial Companies Code;
  • we apply to the antimonopoly authorities (UOKiK) in Poland in order to obtain the necessary consents and permits;
